These Terms of Service (the “Terms”) govern your use of the services and software provided by Kemmer Solutions (“Kemmer Solutions,” “we,” “us,” or “our”), a Pittsburgh, Pennsylvania business operated by Zachary Kemmer. By engaging our services, authorizing our QuickBooks Online connection, or using our website, you agree to these Terms.

Our services

Kemmer Solutions provides bookkeeping, QuickBooks cleanup and reconciliation, financial reporting, and website design and care services to small businesses. The specific scope, deliverables, and price of any engagement are set out in the quote or agreement we send you. Once we send a finalized quote, that is the price you pay for the agreed scope. We do not add charges without your approval.

Authorization & the QuickBooks connection

For bookkeeping engagements, you authorize Kemmer Solutions to access the QuickBooks Online company (or other accounts) you specify, through Intuit's official API. You represent that you are an owner or authorized user of those accounts and have the right to grant this access. You may revoke access at any time through QuickBooks Online or by asking us to disconnect. We use this access only to perform the work you have engaged us to do, as described in our Privacy Policy.

Your responsibilities

  • Provide accurate, complete information and documents needed to do the work.
  • Maintain your own access credentials and keep them confidential.
  • Review the work we deliver and let us know promptly of any concerns.
  • Use our services and any connected accounts lawfully and only for legitimate business purposes.

Professional scope

Kemmer Solutions provides bookkeeping and related services. We are not a law firm, and unless expressly agreed in writing we do not provide legal advice, audit services, or act as your tax preparer or registered investment adviser. Where appropriate, we will coordinate with your accountant or tax professional at your direction.

Fees & payment

Fees are as stated in your quote or agreement. Invoices are due as specified there. Work may be paused if an account is significantly past due.

Confidentiality

We treat your business and financial information as confidential and use it only to deliver your services, as described in our Privacy Policy. We carry professional liability and cyber insurance.

Disclaimers

Our services are provided with reasonable professional care, but they are provided “as is” without warranties of any kind, express or implied, except as required by law. We rely on the accuracy and completeness of the information and third-party data (including bank feeds and QuickBooks data) provided to us, and we are not responsible for errors that originate in that source data.

Limitation of liability

To the fullest extent permitted by law, Kemmer Solutions' total liability arising out of or relating to the services will not exceed the fees you paid us for the engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

Termination

Either party may end an engagement with reasonable notice. On termination, you remain responsible for fees for work performed, and we will return or securely dispose of your information as described in our Privacy Policy. You may revoke our account access at any time.

Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Pennsylvania.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of our services after a change means you accept the updated Terms.
